Welcome to Gonit App (“Gonit,” “we,” “us,” or “our“), operated by Clevers Nest LLC. By downloading, installing, accessing, or using the Gonit application (the “App“) or our website at https://gonit.app/ (together, the “Services“), you agree to be bound by these Terms & Conditions (“Terms“). Please read them carefully before using the Services. If you do not agree to these Terms, do not download, access, or use the Services.

1. Acceptance of Terms

By creating an account or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the Services on behalf of a child, you confirm that you are that child’s parent or legal guardian and that you accept these Terms on the child’s behalf.

2. About Gonit App

Gonit is a math learning application designed to help students in grades 1–12 practice mathematics and Olympiad-style problems.

We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice, to improve functionality, security, or content quality.

3. Eligibility

You must be at least 5 years old to use the App.
Users under the age of 13 (or the applicable age of digital consent in their jurisdiction) may only use the App with the involvement, supervision, and consent of a parent or legal guardian, who is responsible for reviewing these Terms and our Privacy Policy on the child’s behalf.
By allowing a child to use the Services, a parent or guardian agrees to these Terms and to our Privacy Policy on the child’s behalf and takes responsibility for the child’s use of the Services.
We do not knowingly collect more personal information from children than is reasonably necessary to provide the Services. See our Privacy Policy for details on what we collect and how parents/guardians can review, request deletion of, or otherwise manage their child’s information.

4. User Account

You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Notify us immediately at the contact details below if you suspect unauthorized use of your account.
We may suspend, restrict, or terminate any account that violates these Terms, provides false information, or is used in a manner that could harm Gonit, other users, or third parties.

5. License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on devices that you own or control, solely for your own personal, educational, non-commercial use.

You may not:
- Copy, sell, rent, lease, sublicense, distribute, or otherwise make the App or its content available to any third party;
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
- Modify, adapt, or create derivative works based on the App or its content;
- Use the App for any illegal, harmful, fraudulent, or unauthorized purpose;
- Circumvent, disable, or interfere with any security-related features of the App;
- Use automated means (bots, scrapers, etc.) to access or extract content from the App.
All content, questions, explanations, figures, features, branding, and materials within the App are owned by Gonit App / Clevers Nest LLC or our licensors and are protected by intellectual property laws. No rights are granted to you other than the limited license expressly stated in this section.

6. Subscriptions and Payments

Certain features of the App (including the downloads section) require an active paid subscription.
Subscriptions may auto-renew. Where payment is processed via Stripe, this is subject to Stripe’s own terms; see the Stripe Terms & Privacy. Where payment is processed through the Apple App Store or Google Play, your purchase is additionally subject to that platform’s terms and billing/refund policies.
We may change subscription prices or features from time to time; where required, we will provide advance notice before changes take effect for existing subscribers.
Refunds are handled according to the policies of the applicable payment platform (Apple App Store, Google Play, or Stripe) through which the purchase was made. We do not directly process refunds for purchases made through a third-party platform.
You are responsible for cancelling your subscription through the platform you purchased it on if you do not wish it to renew.

7. User Conduct

You agree not to use the Services to:

Violate any applicable law or regulation;
Harass, abuse, threaten, or harm another person;
Upload or transmit any content that is unlawful, infringing, or harmful;
Interfere with or disrupt the integrity or performance of the Services;
Attempt to gain unauthorized access to the Services or related systems.

8. Third-Party Services

The Services may contain links to, or integrate with, third-party tools, services, or content (for example, payment processors or analytics providers). We do not control and are not responsible for:

The content, accuracy, or practices of third-party services;
The privacy practices of third parties (see their own privacy policies);
Any damages or losses arising from your use of third-party services.

You use third-party services at your own risk and subject to their own terms.

9. Data Collection and Privacy

We collect and process limited personal data to operate and improve the Services, as described in our Privacy Policy, which forms part of these Terms. We do not sell your personal information and do not share it with unauthorized third parties.

10. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following additional terms apply and take precedence over any conflicting term in these Terms with respect to your use of the App on Apple devices:

Acknowledgment. These Terms are between you and Gonit App / Clevers Nest LLC only, and not with Apple Inc. (“Apple“). Apple is not responsible for the App or its content.
Scope of License. Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the App Store’s Usage Rules.
Maintenance and Support. Gonit App / Clevers Nest LLC, not Apple, is solely responsible for providing any maintenance and support services for the App. Apple has no obligation to furnish any maintenance or support for the App.
Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty will be our sole responsibility.
Product Claims. We, not Apple, are responsible for addressing any claims from you or a third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
Intellectual Property. In the event of a third-party claim that the App, or your possession and use of the App, infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-Party Beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GONIT APP / CLEVERS NEST LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations on liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Gonit App, Clevers Nest LLC, and our officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Services.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms.

You may delete your account and associated data at any time as described in our Privacy Policy. Account deletion does not entitle you to a refund for any unused portion of a paid subscription, except as required by the policies of the applicable app store or platform through which you purchased the subscription.

Sections of these Terms that by their nature should survive termination (including Sections 5, 9–13) will survive.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the App, our website, or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of [JURISDICTION TO BE SPECIFIED BY COMPANY COUNSEL], without regard to conflict-of-law principles, except that Section 10 governs your relationship with Apple as described above.
